Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of opaliafood.com and the associated manufacturer partner portal (together, the "Service") operated by Opalia Inc. ("the Company," "we," "us," or "our"), located at 1250 Rene-Levesque Blvd West, Suite 2200, Montreal, QC H3B 2Y5, Canada. By accessing or using the Service you accept these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

The Service is designed for food manufacturers, ingredient companies, and industry professionals evaluating or sourcing animal-free dairy proteins. Opalia is a B2B ingredient supplier; the Service is a professional tool, not a consumer product. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

2. Use of the Service

• You must be of legal age in your jurisdiction, or have parental or organizational authorization, to use the Service.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to any portion of the Service, including the manufacturer partner portal.
• You may not scrape, reverse-engineer, or systematically copy content from the Service except as permitted by applicable mandatory law or with our written consent.
• When submitting a partner application or contact form, you agree to provide accurate and complete information about yourself and your organization. Providing false or misleading information may result in denial or termination of access.
• Partner portal accounts are issued to specific authorized personnel. You may not share account credentials or permit access to the portal by unauthorized individuals.

3. Intellectual Property

The Service, including all ingredient specifications, technical documentation, batch data summaries, bioprocess methodology descriptions, blog content, and visual design, is owned by the Company or its licensors and is protected by Canadian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose: evaluating Opalia's ingredient products for potential commercial or research use. This licence does not extend to reproducing or redistributing Opalia's technical documentation, publishing batch data externally, or using the Company's content in competitive analysis or marketing materials without prior written consent.

4. Information You Submit

You are responsible for the accuracy and legality of any information or content you submit through the Service, including partner applications, formulation context, and contact inquiries. You grant the Company a limited licence to use, store, and process the information you submit for the purpose of providing the Service and responding to your request. How we handle this information is described in our Privacy Policy.

5. Technical Data and Ingredient Specifications

Ingredient specifications, purity data, and technical documentation made available through the Service reflect internal pilot-scale results from Opalia's production program. This information is provided for evaluation purposes and is not a warranty of future performance at commercial scale. Food manufacturers are responsible for conducting their own independent formulation testing and for ensuring that ingredients comply with applicable food regulations in their target markets. Opalia does not make regulatory approval claims on behalf of its customers.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties, express or implied, to the maximum extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Mandatory consumer or statutory warranties applicable in your country of residence are not affected.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed CAD 100, except for liability that cannot be limited under mandatory law. The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

8. Indemnification

You agree to indemnify and hold harmless Opalia Inc. from any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

9. Termination

The Company may suspend or terminate your access to the Service, including the partner portal, for breach of these Terms, for providing materially false information in an application, or for any other reason at its discretion with reasonable notice. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will survive.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Canada, including the laws of the Province of Quebec where applicable.

Any disputes arising under or in connection with these Terms are subject to the non-exclusive jurisdiction of the competent courts in Montreal, Canada, without prejudice to mandatory consumer-protection rights applicable in your country of residence.

11. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Service after the effective date of a revision constitutes acceptance of the revised Terms.
